Welcome to Catalyst Business Consult. These Terms of Service (“Terms”) govern your use of our services, website, and all interactions with our business consultancy firm.

By accessing or using any of our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

Introduction to Catalyst Business Consult

Catalyst Business Consult (“we,” “our,” or “us”) is a professional business agency offering strategic consulting services including but not limited to business development, market research, brand strategy, digital transformation advisory, operational improvement, and startup mentorship.

We serve a diverse range of clients—startups, SMEs, nonprofits, and corporates—by providing tailored business insights, strategic roadmaps, and implementation support aimed at driving sustainable growth and competitiveness.

Scope of Services

We offer various services which may include, but are not limited to:

  • Business strategy consulting
  • Market research and competitive analysis
  • Feasibility studies and business plan development
  • Branding and positioning advisory
  • Digital and technology strategy consulting
  • Financial modeling and investment readiness
  • Corporate training and coaching sessions
  • Startup incubation and mentorship

All services are customized based on client needs, and the scope of work will be clearly outlined in a formal agreement or proposal before any engagement.

Client Responsibilities

To ensure successful delivery of services, clients agree to:

  • Provide accurate and complete information relevant to the engagement
  • Respond to communication and data requests in a timely manner
  • Collaborate and participate in consultations and feedback sessions
  • Make payments as agreed in the contract or proposal
  • Maintain confidentiality of proprietary tools, frameworks, or documents shared

Failure to comply may affect our ability to deliver effectively and could result in delays, project termination, or additional fees.

Confidentiality and Non-Disclosure

Both parties agree to maintain the confidentiality of any proprietary or confidential information exchanged during the course of an engagement. This includes, but is not limited to, business plans, financials, customer data, trade secrets, or internal processes.

Confidentiality obligations will remain in effect during the term of the engagement and for a period of two (2) years after termination, unless otherwise agreed in writing.

Intellectual Property

Unless otherwise agreed, Catalyst Business Consult retains ownership of all intellectual property created during engagements, including templates, frameworks, methodologies, reports, presentations, and any proprietary tools.

Clients receive a non-exclusive, non-transferable license to use the deliverables for internal business purposes only. Reproduction, resale, or public distribution of our materials without written permission is prohibited.

Fees and Payment Terms

Service fees will be outlined in the agreed proposal, engagement letter, or service agreement.

Accepted payment methods include bank transfer, credit/debit card, and digital payment gateways.

Cancellation and Refund Policy

Clients may cancel an engagement with written notice of at least 7 days. Depending on the stage of the project, partial refunds may be issued for undelivered services. Refunds are not available for completed phases, intellectual property, or advisory sessions already conducted.

Catalyst Business Consult reserves the right to cancel a project due to non-payment, misconduct, or breach of contract by the client.

Disclaimer of Warranties

We provide professional guidance based on best practices, research, and experience. However, Catalyst Business Consult does not guarantee specific business outcomes, revenues, or success as these depend on many external factors beyond our control.

All services are provided “as-is” without warranties of any kind, express or implied.

Limitation of Liability

To the fullest extent permitted by law, Catalyst Business Consult shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to your use of our services.

Our total liability for any claim under these Terms shall not exceed the total amount paid by the client for the specific engagement.

Termination of Engagement

Either party may terminate an engagement with written notice under the following conditions:

  • Breach of contract or terms
  • Non-performance or inability to deliver
  • Legal or regulatory constraints
  • Mutual agreement

Upon termination, the client will settle any outstanding fees and we will deliver any work completed up to that point, subject to payment.

Amendments and Updates

Catalyst Business Consult reserves the right to update or amend these Terms at any time. Any changes will be communicated via email or posted on our official website. Continued use of our services after updates constitutes your acceptance of the revised Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Nigeria. In the event of a dispute, both parties agree to attempt resolution through negotiation or mediation before pursuing legal action.

If unresolved, disputes shall be submitted to the courts of Ikeja, Lagos Nigeria with exclusive jurisdiction.

By using our services, you acknowledge that you have read, understood, and agreed to these Terms of Service.
